LEGAL NOTICE

TO PARTICIPANTS AND BENEFICIARIES OF THE THARALDSON MOTELS, INC. EMPLOYEE STOCK OWNERSHIP PLAN (“TMI ESOP”)

YOU ARE HEREBY NOTIFIED THAT A CLASS HAS BEEN CERTIFIED IN PENDING LITIGATION THAT MAY AFFECT YOUR RIGHTS

If you fall into either of the following categories, you may be a member of the class and your rights may be affected by the lawsuit entitled as Hans vs.Tharaldson

The Former Employee Class: All participants in the TMI ESOP at any time between December 30, 1998 to the present who received an allocation of plan assets to their accounts which they did not subsequently forfeit under the terms of the plan and who are no longer employees of TMI (or an affiliate) and the beneficiaries of such persons.

The Current Employee Class: All participants in the TMI ESOP at any time from December 30, 1998 to the present who are present employees of TMI (or an affiliate) and the beneficiaries of such persons.

The Court has determined that the Action may proceed as a class action pursuant to Rule 23 of the Federal Rules of Civil Procedure against Gary D. Tharaldson and members of the Tharaldson family and certain family trusts. TMI is NOT a party to this lawsuit. Neither TMI nor the TMI ESOP is alleged to have done anything wrong.

This Notice is not an expression of any opinion by the Court with respect to the merits of the claims or the defenses asserted in the Action. It is merely to advise you of the pendency of this Action.

You do not need to do anything at this time, since this is a mandatory class and you cannot optout of the Class. A LOS PARTICIPANTES Y BENEFICIARIOS DEL PLAN DE TITULARIDAD DE ACCIONES DEL EMPLEADO (EMPLOYEE STOCK OWNERSHIP PLAN, ESOP) DE THARALDSON MOTELS, INC. (THARALDSON MOTELS, INC TMI) (“ESOP DE TMI”)

POR EL PRESENTE SE LE NOTIFICA QUE SE HA CERTIFICADO UN GRUPO EN UN LITIGIO PENDIENTE QUE PUEDE AFECTAR SUS DERECHOS

Si usted cae dentro de cualquiera de las siguientes categorías, es posible que sea miembro del grupo y que sus derechos se vean afectados por la demanda titulada Hans contra Tharaldson, N.º 3:05-CV-00115, que está pendiente ante el Tribunal de Distrito de los Estados Unidos del Distrito de Dakota del Norte (el “Tribunal”):

El Grupo de los ex empleados: Todos los participantes del ESOP DE TMI en cualquier momento entre el 30 de diciembre de 1998 y el presente que hayan recibido una distribución de los activos del plan en sus cuentas, que no hayan perdido el derecho a los mismos en virtud de los términos del plan y que ya no sean empleados de TMI (o de una filial) y, los beneficiarios de tales personas.

El Grupo de los empleados actuales: Todos los participantes del ESOP DE TMI en cualquier momento desde el 30 de diciembre de 1998 hasta el presente que sean empleados actuales de TMI (o de una filial) y los beneficiarios de tales personas.

El Tribunal ha determinado que la Demanda puede proceder como una demanda colectiva conforme a la Regla 23 del Procedimiento Civil, contra Gary D. Tharaldson, los miembros de la familia Tharaldson y ciertos fideicomisos familiares. TMI NO es una parte de esta demanda. No se alega ni que TMI ni que el ESOP DE TMI hayan hecho nada incorrecto.

Esta Notificación no es una expresión de opinión alguna por parte del Tribunal con respecto a los méritos de los reclamos o de las defensas afirmadas en la Demanda. Sirve meramente para avisarle a usted que esta Demanda está pendiente.
