Starwood Capital Group to Acquire TMI Hospitality

GREENWICH, CONNECTICUT/FARGO, NORTH DAKOTA (June 19, 2014) – Starwood Capital Group (“Starwood Capital”), a leading global private investment firm, and TMI Hospitality, Inc. today announced that Starwood Capital, through a controlled affiliate of Starwood Global Opportunity Fund X, has entered into an agreement to acquire all of the outstanding stock of TMI Hospitality from the TMI Hospitality Employee Stock Ownership Plan. The acquisition includes 188 hotels, the management company and the development platform. The transaction is subject to customary closing conditions, including certain franchisor and lender approvals.

“From its inception, TMI has developed and operated more than 400 hotels, and I am pleased Starwood Capital recognizes the value created by our extensive experience and talented team members,” said Lauris Molbert, chairman and CEO of TMI Hospitality. “With Starwood Capital, TMI will be able to continue pursuing its growth strategy while fulfilling its mission of impressing guests.”

Starwood Capital and its investors currently own 103 select-service hotels covering two-thirds of the United States. Following the close of the acquisition, the firm will control 291 select-service and extended stay hotels across 39 states in the United States.

Citigroup Global Markets Inc. acted as lead financial advisor to TMI Hospitality and Butcher Joseph Hayes also acted as financial advisor to TMI. Hentschel & Company provided a fairness opinion to TMI Hospitality’s Board of Directors. Morrison & Foerster LLP and Morgan, Lewis & Bockius LLP are serving as legal counsel to TMI Hospitality. Starwood Capital received legal counsel from Latham & Watkins LLP and financial advice from BofA Merrill Lynch and Barclays.

TMI Hospitality Hotels Honored by Marriott, Hilton, Carlson

TMI Hospitality is pleased to announce that one-third of its approximately 200 hotels across the country have been honored by franchise partners as award winners for outstanding performance and guest satisfaction.  The company is unique for its approach that includes employing its divisions to support all aspects of hotel development and operation, which has created strong relationships with franchises including Marriott International and Hilton Worldwide, and has resulted in exceptional performance results.

During Marriott’s recent annual award announcement, TMI hotels took home 55 awards, 31 of which were in the prestigious Silver through Diamond award categories. In the entire Residence Inn brand, four hotels were selected as its Hotel of the Year finalists, two of which are owned and operated by TMI Hospitality. The company is also a partner with Carlson, owning and operating six Country Inn & Suites hotels across the country, two of which were named President’s Award winners at the brand’s Business Conference held  earlier this year. Hampton Inn & Suites Opens in San Bernardino

TMI Hospitality announces holiday giving program

To many people, an important part of the holiday season is spending time with friends and family. Unfortunately, those who have a friend or family member who is hospitalized, in a nursing home or in a treatment center during the holidays often find it difficult to be together. For nearly 30 years, TMI Hospitality has worked to meet that need by offering free hotel rooms on the night of Thanksgiving and Christmas Eve to guests who have a friend or family member who they are separated from because of health issues.

Room in the Inn provided nearly 3,000 people a free night’s stay during last year’s holiday season, and TMI Hospitality is pleased to offer this program again this year.

TMI Hospitality celebrates the grand opening of two Fargo hotels

Fargo RITMI Hospitality recently hosted an event to celebrate the opening of two new hotels, the Residence Inn by Marriott and the Comfort Suites by Choice. The grand opening celebration began with a ribbon cutting ceremony in front of each hotel, followed by TMI Hospitality employees offering attendees tours of the hotels, appetizers and the opportunity to win prizes.

The event was attended by a number of TMI Hospitality representatives, as well as members of the Fargo-Moorhead Convention and Visitors Bureau, members of The Chamber of Fargo-Moorhead and area business leaders.

The Residence Inn is a 92-room hotel that employs approximately 35 full-and-part-time staff under the leadership of general manager Laura Ludwig.
